Machas & Partners Law Firm was established in 2011 by Mr. Petros Machas, Managing Partner. Hellenic Petroleum Renewable Energy Resources S.A.

Machas & Partners represented Hellenic Petroleum Renewable Energy Resources S.A. in the €5.5m acquisition of Energiaki Pylou – Methonis S.A., subsidiary of an international leader in the renewable energy sector and owner of a 6.8 MW wind farm, the first wind farm to be acquired by the Hellenic Petroleum group of companies.

Machas & Partners advised on the issue of a syndicated secured bond loan of €65m subscribed to by all Greek systemic credit institutions for the refinancing of the issuer’s existing liabilities and working capital requirements. PETRO MACHAS

Petros is the founder and Managing Partner of Machas & Partners. Before establishing Machas & Partners, Petros Machas was a Partner in one of the oldest law firms in Greece, handling several complex commercial deals and high-profile cases both in Greece and abroad. In his career, Petros Machas has developed a strategic pro-business approach and has earned the respect of his peers and clients for his solid, proactive and effective multi-jurisdictional practice. He is one of the most recognized and influential litigators in Greece, as well as an experienced and tested attorney in complex cross border disputes before international arbitration. Petros has also acted as lead lawyer on various high profile and high value transactions over recent years. These include large M&A transactions and financial services transactions, including securitisations of various financial assets. Petros is regularly asked to speak at international conferences on the legal framework for investments in Greece, real estate projects and PPPs and has been the advisor to the Greek Ministry of Development for drafting the New Investment Law.

TOM KYRIAKOPOULOS

Tom, a Greek-Canadian born in Montreal, heads the firm’s Tax Practice. Complementary to his legal academic background, he also has an MBA from the University of Nottingham. Tom provides corporate clients with comprehensive commercial and tax advisory and compliance services on all aspects of Greek law. He has comprehensive knowledge and a thorough understanding of both Greek and foreign commercial and tax issues with respect to structuring and executing complex commercial / financing transactions, implementing tax efficient investments plans in Greece and pragmatically structuring cross border transactions. Tom is also proficient in diligently handling tax audits and meticulously formulating tax strategies with a solid track record in Greek tax litigation. He has also successfully represented the Greek State before the London Court of International Arbitration against Hochtief with respect to a considerable tax difference in one of Greece’s most well-known tax litigation cases. Besides his strong background in tax and corporate work, Tom has an in-depth knowledge of the transition economies of Southeast Europe in which he has spent a good part of his working life on several large-scale projects as counsel both to foreign investors and to the EU Commission.

NIKOS KOULOCHERIS

Nikos is a proficient lawyer in civil and commercial law, with a strong focus on employment law. He has extensive experience representing complex cases before Greek courts and the Organization for Mediation and Arbitration for employers and employees across a range of industries and sectors, including retail companies, telecommunications and health & life sciences. He is at the forefront of major labour developments and regularly advises clients on new laws and regulations that will affect their businesses. Nikos is also a renowned litigator handling complex civil and commercial claims for private and public clients before Greek courts and international arbitration. He acts for a range of legal issues including employment agreements, workplace accidents and remuneration, regulatory matters, disciplinary proceedings, and the restructuring of labour relations.

DIANA VOUGESSIS

Diana is Head of the firm’s corporate practice group. She has extensive experience and knowledge in capital markets, banking & finance, real estate and energy, with an emphasis on representing a wide variety of foreign and domestic institutional clients in cross-border M&A work and public offerings. Diana has also worked for several years as legal counsel for a major concession company in Greece, and has handled a number of concession and PPP projects, as well as construction contract matters. She has also advised financial institutions regarding projects using European structural funds and has represented international conglomerates and other corporations before the ICC. Diana has recently acted for numerous Greek companies with regard to Initial and Follow-on Public Offerings and listings in the Athens Stock Exchange, as well as private placements. She has also advised a leading Greek Group of companies in relation to an M&A transaction for the acquisition of a wind park from a global wind parks’ developer and one the four systemic banks of Greece in the sale and transfer to an international real estate player of a majority stake in a real estate investment company.

Maria specializes in civil, labor and employment law. She has been Legal Counsel for the General Confederation of Greek Labour for over 15 years. She has had extensive experience in labor and employment litigation, as well as in business restructur­ing with main focus the drafting of collective agreements, the renegotiation of employment contracts and reorganization of employment relationships. She also has wide experi­ence in civil and employ­ment litigation before courts and industrial tribunals. She advises on complex corporate restructurings, especially on employees’ rights in relation to salary changes, collective redundancies and drafting the internal labour regulations. Maria acts for a broad range of clients in government, as well as private and public companies in the sectors of transportation and telecommunications.

DIMITRIS KOUVARAS

Dimitris has a long and proven track record in banking, shipping, corporate law, EU transport and energy. Dimitris’ banking and shipping experience culminates from his position as head of the legal department of the American Express Banking Corporation in Greece and his long standing appointment as in-house lawyer for a leading Greek shipping company. His specialization includes drafting and properly executing ships sale and purchase agreements, vessel registration, registering vessel mortgages and maritime liens and conducting ships’ arrest. He has successfully conducted lengthy litigation on a Stock Exchange legislation issue, representing a Greek food industry firm in a € 20 million claim and he has assisted clients during mediation procedures at the IDRC London for civil law cases pending in the UK Courts. In addition to his domestic Courts. In addition to his domestic practice, Dimitris has participated as legal advisor in investment negotiations held in Beijing, China, he has acted as legal expert in EU Projects for International Transport Treaties in Azerbaijan, Georgia, Romania, Ukraine and Uzbekistan and he has headed a legal team of an EBRD Project in Azerbaijan and Turkmenistan for the Development of the Ports of Baku and Turkmenbashi.
