Lipa Meir & Co. was founded by Dr. Lipa Meir in 1987. For three decades the firm has been involved in extensive and significant legal enterprise, and is proud to lead in a wide array of legal fields. Key Experience

Over the years, the firm’s members have contributed to many major transactions affecting the Israeli economy. The firm served as counsel in numerous significant international and domestic deals, transactions and litigation cases, such as the debt restructuring of the largest HMO in Israel, the largest cooperative restructuring in Israel, major and cross-the-board debt reorganization schemes, several well publicized acquisitions of publicly traded companies where the firm served as buyers’ or sellers’ counsel, IPOs, state-of-the-art financial product (Wall Street Type) investments, representation and rendition of advice to international and local clients (including the State) in large-scale national infrastructure transactions and projects, e.g. the sale of trains, power plants/turbines/solar energy installations and desalination plants and securing franchises from a number of international brands in the retail business.

EYAL KHAYAT

Eyal has been dealing with high-tech and venture capital transactions from the very early days of the bloom of the venture capital investments in Israel (the early 90s).

Eyal has achieved a prominent position in the high-tech industry, and he is a well-recognized and respected practitioner, known as a deal-maker and business developer, whose contribution extends beyond mere legal advice.

Several editions of the Legal 500 directory portrayed Eyal as “showing strong business acumen”, “having established an impressive reputation in the fields of high-tech and venture capital” and as “very proactive and creative.”

Prior to his teaming with our firm Eyal has served as the founding partner and of Yingke Israel – Eyal Khayat, Zolty, Neiger & Co. – the then Israeli branch of Yingke, the largest direct-invested Chinese law firm in Asia Pacific, operating through more than 7,800 lawyers in 60 branches in mainland China.

In Lipa Meir & Co., Eyal is the head of the Far-East Desk and is in charge of the firm’s Yingke related matters.

AMIR ZOLTY

Amir Zolty, a graduate of Tel-Aviv University (LL.B. Magna Cum Laude) and of Yale University (LL.M) has been admitted to the Israeli Bar Association in 1990.  Until 2001 he served as a Registrar of the Supreme Court of Israel and as the senior legal assistant to the President of the Israeli Supreme Court, Professor Aharon Barak, and before that, as a senior legal assistant to the Attorney General of the State of Israel. Amir worked as an associate at Herzog Fox Neeman prior to his career in the civil service.

Since 2001, Amir has been extensively engaged in high-tech and biotech/pharmaceutical transactions, and he represents a considerable number of private and public high-tech and biotech companies with regard to their day-to-day activities, as well as corporate finance, M&As, compliance, etc.

Amir also lectured at the Buchmann Faculty of Law, Tel Aviv University and thereafter joined the faculty’s Board of Trustees. Amir is also a panel member and country reporter in various activities and publications of the IBA in the fields of corporate law, M&A, high-tech law and venture capital.

Alon Pomeranc

Alon is a senior partner in Lipa Meir and heads the firm’s Litigation Department. He joined the firm in 1994 and became a partner in 2000. Alon, with over 20 years of experience in the courtrooms, is regarded as one of the top experts in all aspects of commercial and civil litigation nationwide. Alon has extensive expertise in handling complex litigation and dispute resolution cases for a wide variety of Israeli and international companies in many sectors, including banking and finance law, antitrust, white collar crime, finance, real estate, international trade and business, insolvency, administrative law, infrastructure & energy projects, corporations and securities,.

Alon has a prestigious reputation as a leading and distinguished litigator and he is known as a charismatic, punctual and determined litigator. Alon appears frequently in all court instances, including the Districts Courts and the Supreme Court, and in arbitration and mediation panels.

Alon regularly represents strategic mega-clients including Israeli banks, most of the country’s major insurance companies and the biggest health organization in Israel (Clalit Health Services) in a vast scope of unique and complex litigation cases.

Dr. Lipa Meir

Dr. Lipa Meir is the founding partner of Lipa Meir & Co., Law Firm. The firm was founded by Lipa in 1987 and today it is one of the largest and most prestigious law firms in Israel, with more than 80 lawyers. Following his admission to the Israel Bar Association in 1974, Dr. Lipa Meir began working as an associate at the law firm of Herzog, Fox & Neeman and in 1978 became a partner in the firm and continued to work there until 1987.

Lipa received his Ph.D. from the University of Toronto, Canada in 1984. His doctoral thesis is in the area of Law and Economics, and focuses on the involvement of commercial banks in securities activities, and includes comparative study in this matter in regards to United States, Canada, Israel, Britain and Germany.

With over 35 years of experience, Lipa is considered one of the leading experts in Israel on corporate law with a particular expertise in the areas of insolvency bankruptcy, receivership, liquidation and stay of proceedings), corporate recovery, corporate reorganization, restructuring of corporate debts, creditors’ arrangements and banking..

Lipa has been involved in the largest and most important insolvency and debt arrangements cases. Among the most prominent cases Lipa was involved in are: ATA Textile Ltd., where he served as receiver; representing the debenture holders in the arrangement made with Africa Israel; representing Delek Real Estate in the arrangement with its debentures holders; representing IDB Development in its creditors’ arrangement; served as a court appointed Trustee in the stay of proceedings of the Hadassah Ein Kerem Hospital and represented the Israeli Postal Company in its recovery/rehabilitation process. In addition, Lipa advises to large debtors in their personal arrangements with the banking system.

Between 2000 to 2010 Lipa was a member of the appointed committee of the cooperative Co-Op Blue Square Israel, and acted in this capacity to realize the assets of the cooperative for a total of more than NIS1.6 Billion and to reach a settlement between the cooperative and its members. In 2009 Lipa was appointed as the liquidator of Co-Op.

In addition to his practice of law, Lipa is a member in the Board of Trustees of Bar-Ilan University and the Chairman of the Council of Trustees and the Permanent Committee of the University. Lipa is also a member of the Board of Trustees of Netanya Academic College and the Chairman of the Steering Committee of the law school program for outstanding students at the College. Lipa also serves as a judge in the supreme court of the World Zionist Organization.

From 2007 to 2010 Lipa had served as the Chairman of the National Disciplinary Court of the Israel Bar Association and as the Chairman of the Public Advisory Committee advising on the issues of dumping and trade levies.

Lipa was a lecturer on Corporate Law and Corporate Rehabilitation at Bar-Ilan University Law School and Netanya Academic College and taught many seminars and courses at the Israel Bar Association, Institute of Certified Public Accountants in Israel and others, and he still serves from time to time as a guest lecturer in important conferences.
